We have been advised that you would like to retain Puget Sound Registered Agent Services, LLC (“PSRA”) to serve as your entity’s governor for purposes of being listed on the Washington Secretary of State website. The current fee is $200 per year. By completing the intake form below you agree and acknowledge the following:
A) While PSRA has similar ownership as Holmquist & Gardiner, PLLC, PSRA is a separate entity that is not a law firm;
B) PSRA does not provide legal services. If you are ever in need of legal services, please contact Holmquist & Gardiner, PLLC or another law firm;
C) PSRA will only provide email notices and will not physically mail you any notices. You agree that the email address you provide below is a functional email for you and you will reasonably monitor that account. If that email changes, you or an authorized representative of the entity, will update PSRA with a new email address;
D) You recognize that to appoint PSRA as your governor for secretary of state filing purposes, you will need to amend your operating agreement and certificate of formation with PSRA’s form documents;
E) After completion of the form below and execution of the necessary entity documents, PSRA will go online and change the governor for your entity within a reasonable time from receiving your agreement in the form of completion of the information below;
F) If the above referenced PSRA forms are not executed, PSRA will not serve as governor, and no fee will be invoiced;
G) PSRA will not be providing any service, or have any obligation, other than being the named governor on the Secretary of State website;
H) By serving as governor, PSRA does not represent or warrant that membership or ownership of the entity can be kept from the WA Secretary of State website or that any previous information filed with the WA Secretary of State will be removed;
I) You agree that PSRA may resign and or withdraw service as governor at any time, in the event the annual fee is not paid, or if PSRA believes you are in breach of any law or facing any liability or claims, or if any law or regulation changes requiring PSRA’s withdrawal; and
J) You agree that since PSRA is going to take no action other than being listed as governor on the Secretary of State’s website, your entity will indemnify, defend, and hold harmless, PSRA for any and all damages, causes of action, liability, or claims against it, arising from its services as governor to your entity.
